Chime to Acquire Stride Bank for $590 Million in Landmark Transaction to Secure National Bank Charter

Share

FinTech company Chime, a financial technology platform, has finalized a deal, worth almost $600 million, to buy Stride Bank, N.A. with whom the company has been collaborating for several years. Once this transaction becomes legally effective and regulatory approval is obtained, the Stride name will be removed and Chime Bank will become Stride’s new brand. A legal entity, Chime will remain, and Stride Bank will be its subsidiary business unit.

In the financial industry, this move is quite significant because Chime, through the transaction, changes from being mostly a digital player to becoming a major banking presence by obtaining a national banking charter and building a financial services ecosystem that relies on artificial intelligence.

Key Operational Advantages and Strategic Synergies

Acquiring Stride Bank provides Chime with full-stack charter ownership through a proven, accelerated pathway, bypassing the lengthy timelines associated with a de novo bank application.

The combined structure reinforces several core operational catalysts:

Next-Generation Product Deployment: Linking ChimeCore the company’s proprietary, AI-native software framework directly with national bank infrastructure streamlines data processing and accelerates the rollout of compliant consumer features.

Structural Cost Leadership: Eliminating sponsor bank fees, reducing cost of funds, and expanding high-margin lending products are projected to generate over $100 million in annual net synergies.

Enhanced Operational Resilience: Establishing direct oversight over underlying member accounts deepens consumer trust, helping convert casual platform users into primary checking account members across all 50 states.

Capital-Efficient Balance Sheet Management: Chime will remain focused on a payments-led, asset-light model, maintaining consolidated assets under the $10 billion threshold for the foreseeable future.

“We founded Chime because mainstream America deserved better banking,” said Chris Britt, CEO and Co-founder of Chime. “Our member-aligned, technology-driven strategy will remain the same. This acquisition will make our proven model even stronger. By combining Chime’s leading brand and deep member relationships with Stride’s national charter and team, we will accelerate toward our vision to be the largest provider of primary bank accounts in America.”

“Stride has spent more than a century serving customers and strengthening communities,” said Brud Baker, Chairman and CEO of Stride Bank. “For seven years, we have seen firsthand how Chime puts members first and how seriously it takes its mission. That gives us real confidence in this combination and the future we can build together. Stride’s national bank charter and experienced team will be central to what comes next. I look forward to continuing to lead Chime Bank, creating new opportunities for our customers, communities, and employees.”

Transaction Economics and Immediate Financial Accretion

The purchase price represents approximately 1.5 times Stride’s tangible book value. Chime will fund the entire $590 million purchase using existing balance sheet cash, requiring no outside capital or equity dilution.

The transaction is expected to be immediately accretive to earnings per share upon completion. Financial performance will be further enhanced by sponsor bank fee eliminations, expanded unit economics, and scalable credit operations backed by disciplined underwriting protocols.

Century-Old Legacy Paired with Social Impact

Founded in 1913, Stride Bank brings a 113-year tradition of community banking, regulatory compliance, and operational execution. Having served as Chime’s primary issuing bank for seven years, Stride already holds significant Chime member deposits, ensuring operational continuity for its 10 million Active Members.

The unified organization will also build upon shared social impact commitments. Chime continues its pledge of 1% equity to the Chime Scholars Foundation, which has directed nearly $10 million in higher education scholarships to roughly 1,500 recipients over the past five years
