Independent fund services provider ATOZ Services has announced a strategic growth investment from growth equity firm Bregal Sagemount. Under the terms of the transaction, Sagemount will become the majority shareholder of the Luxembourg-based platform, while founding organization ATOZ Group and existing investor ICG will maintain minority equity positions, subject to standard regulatory approvals and closing procedures.
The capital injection is structured to accelerate ATOZ Services’ international expansion, fund future strategic acquisitions, and deepen technological capabilities across its core service offerings.
Expanding Capabilities and Market Footprint in Global Fund Administration
Established in 2018 within the ATOZ Group framework, ATOZ Services delivers specialized fund-linked special purpose vehicle (SPV) management, fund administration, and fund governance, risk, and compliance (GRC) solutions. Over the past eight years, the organization has built an institutional client network comprising more than 800 private equity, private credit, and real estate managers who require technical guidance through increasingly complex European regulatory environments.
As alternative asset managers demand more integrated end-to-end operational support across the full fund lifecycle, ATOZ Services has systematically broadened its market reach. The firm recently expanded its regulated fund administration division, launched a client-facing operation in the United Kingdom, and enhanced its proprietary Fund GRC platform. The strategic partnership with Bregal Sagemount will fund the next phase of organic and inorganic growth, focusing on three operational pillars:
-
Geographic Scale: Establishing operational hubs across new European and international fund jurisdictions.
-
AI Technology Integration: Expanding artificial intelligence deployment to automate complex reporting, data collection, and compliance monitoring.
-
Service Line Diversification: Broadening specialized financial, tax compliance, and governance services tailored for alternative investment vehicles.
Executive Perspectives on Scaling and Strategic Alignment
“This investment marks an important milestone for ATOZ Services and builds on the platform we have developed over the past eight years as a standalone entity. Our approach has always been grounded in technical quality, high customer engagement and a close understanding of our clients’ complex needs. We are excited to partner with the Sagemount team as we continue investing in our people and AI, expanding into new markets and further strengthening the services we provide,” said Chafai Baihat, CEO of ATOZ Services.

“ATOZ Services has built a differentiated position in the Luxembourg fund services market, with best-in-class retention and client advocacy that come from high-quality service. We look forward to partnering with Chafai and the team to support ATOZ Services‘ expansion across new markets and service lines, and to build on the strong platform they have created,” said Gene Yoon, Managing Partner at Sagemount.
“We at Sagemount are thrilled to support Chafai and the broader senior team’s ambitions of scaling into a global leader in the category, underpinned by continued superior client service and bolstered AI investment. We look forward to leveraging our platform’s resources to achieve those ambitions together as partners,” said Gurmaan Bhatia, Principal at Sagemount.
“This is an exciting milestone for ATOZ Services. ATOZ Group is truly honored to welcome Sagemount as majority investors into ATOZ Services business to support the next phase of the growth journey, and we are keen to maintain and develop the ATOZ Services relationship with ATOZ Group,” said Fatah Boudjelida and Keith O’Donnell, CEOs of ATOZ Group.
“It has been a privilege to support ATOZ Services through a highly successful period of growth, service line expansion and internationalization. There is significant future headroom and ICG is therefore delighted to be continuing to support Chafai and the team on its growth journey with Sagemount,” said Mark Piasecki, Managing Director at ICG.
Transaction Advisors and Institutional Framework
Goodwin Procter LLP and Kirkland & Ellis LLP served as legal advisors to Bregal Sagemount throughout the deal structuring. Baird acted as the exclusive financial advisor to ATOZ Services, with legal representation provided by A&O Shearman.
The partnership reinforces a shared commitment to building an international fund administration leader capable of navigating multi-jurisdictional compliance demands while maintaining client-first service quality.
Strategic Impact on the European Alternative Asset Landscape
The majority acquisition by Bregal Sagemount signals a broader trend toward consolidation and technological modernization within the European fund services sector. Private capital managers face mounting regulatory complexity, heightened transparency demands from institutional investors, and increasing pressure to streamline operational overhead.
By uniting ATOZ Services’ established domain expertise in Luxembourg and the UK with Sagemount’s capital resources and growth acceleration framework, the combined entity is positioned to address these market pressures. The platform’s emphasis on AI-driven efficiency alongside high-touch human oversight provides alternative asset managers with a scalable, tech-enabled partner capable of supporting complex fund structures globally.
